1. Agreement to Terms

Welcome to ChompPrompt. These Terms of Service (“Terms”) govern your access to and use of the ChompPrompt mobile application, website, and related services (collectively, the “Service”) operated by CarbonHands LLC (“Company,” “we,” “us,” or “our”).

By accessing or using the Service, creating an account, tapping “Sign in with Apple,” or using any paid features, you explicitly agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

Effective Date: May 4, 2026

2. Eligibility and Geographic Availability

Geographic Availability: The Service is currently available only in the United States and Canada. By using the Service, you represent that you are located in one of these countries.

You must be at least 13 years old to use the Service. By using the Service, you represent and warrant that:

• You are located in the United States or Canada
• You meet the minimum age requirement (13 years old)
• You have the legal capacity to enter into these Terms
• You are not barred from using the Service under applicable law
• Your use complies with all applicable laws and regulations

3. Account Registration

3.1 Account Creation

To access certain features, you must create an account using Apple Sign-In. You agree to provide accurate, current, and complete information and to maintain the security of your account credentials.

3.2 Account Security

You are responsible for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any other security breach. We are not liable for any loss arising from unauthorized use of your account.

3.3 Account Termination

You may delete your account at any time through the app settings. We may suspend or terminate your account if you violate these Terms or engage in conduct that we determine, in our sole discretion, is harmful to the Service or other users.

4. Service Description

ChompPrompt is an AI-powered recipe and meal planning application. Current features may include, but are not limited to:

• Generate custom recipes and food images using artificial intelligence
• Import and save recipes from external websites
• Create and manage a personal recipe collection organized into cookbooks
• Share recipes publicly or within a household
• Discover and browse recipes by cuisine, dietary preferences, and personalized recommendations
• Plan meals with automated scheduling based on your preferences and context
• Manage shopping lists
• Order grocery delivery through integrated third-party services
• Create and join shared households for collaborative meal planning
• Participate in social features including following other users, cookbooks, and cooking challenges
• Receive personalized push notifications for meal reminders and suggestions

The Service and its features are provided “as available” and are subject to change at any time. Features described herein may be modified, limited, or discontinued without notice. Specific functionality, including AI capabilities, depends on third-party services and may vary in availability and performance. Certain features may require a paid subscription (see Section 5A).

5. AI-Generated Content

5.1 Nature of AI Content

Our Service uses artificial intelligence, including third-party AI models and services, to generate recipes, food images, meal plans, and other content based on your inputs. The specific AI models, providers, and capabilities used may change at any time. AI-generated content is created algorithmically and may:

• Contain inaccuracies, errors, inconsistencies, or completely fabricated information (“hallucinations”)
• Include incorrect ingredient quantities, unsafe cooking instructions, or nutritional misinformation
• Not be suitable for individuals with allergies, dietary restrictions, or medical conditions
• Omit important safety information or allergen warnings
• Produce unexpected, inappropriate, or nonsensical results

You are solely responsible for verifying all AI-generated content before use. Do not rely on AI-generated recipes for critical dietary, health, or safety decisions without independent verification.

5.2 No Professional Advice

AI-generated recipes are for informational and entertainment purposes only. They do not constitute professional nutritional, medical, or dietary advice. Always consult with qualified professionals regarding dietary needs, allergies, and health concerns.

5.3 Food Safety Disclaimer

IMPORTANT: You are solely responsible for ensuring food safety when preparing any recipe. AI-generated recipes may not account for proper cooking temperatures, food handling procedures, or allergen cross-contamination. Always follow established food safety guidelines.

5.4 Allergy and Dietary Warning

IMPORTANT: AI-generated recipes may contain, suggest, or fail to disclose ingredients that could cause allergic reactions, dietary conflicts, or adverse health effects. The Service does not guarantee accurate allergen, nutritional, or dietary information. If you have any food allergies, intolerances, dietary restrictions, or health conditions, you must independently verify all ingredients and preparation methods before use. WE DISCLAIM ALL LIABILITY FOR ALLERGIC REACTIONS, DIETARY VIOLATIONS, ADVERSE HEALTH EFFECTS, OR ANY HARM RESULTING FROM RELIANCE ON AI-GENERATED CONTENT.

5A. Subscriptions and Payments

5A.1 Free and Paid Tiers

The Service offers free and paid subscription tiers. All tiers are subject to usage limits on AI-powered features, which may vary by tier, time period, and service capacity. We reserve the right to adjust feature availability, usage allowances, and tier benefits at any time based on operational needs, costs, and third-party service availability. Current limits are displayed within the app for informational purposes and are subject to change.

5A.2 Billing and Auto-Renewal

Paid subscriptions are billed through Apple's App Store. Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. Pricing, billing cycles, and subscription terms are displayed at the time of purchase and may be modified at our discretion. We will provide reasonable notice of material pricing changes to existing subscribers.

5A.3 Cancellation and Refunds

You may cancel your subscription at any time through your device's app store settings. Cancellation takes effect at the end of the current billing period; you retain access to paid features until then. Refunds are handled by Apple in accordance with their refund policies. We do not process payments or refunds directly.

5A.4 Usage Limits

Usage limits apply to AI-powered features and reset periodically. The reset schedule, limit amounts, and applicable features may change from time to time based on service capacity, third-party costs, and operational considerations. Unused allowances do not carry over between periods. If you exceed usage limits, AI-powered features may be temporarily unavailable until your limits reset. Attempting to circumvent usage limits may result in account suspension.

6. User Content

6.1 Your Content

“User Content” includes recipes you create, import, modify, or save, as well as prompts you submit for AI generation. You retain ownership of your User Content, subject to the license granted below.

6.2 License Grant

By submitting User Content, you grant ChompPrompt a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, modify, adapt, publish, and display your User Content solely for the purpose of operating and improving the Service.

6.3 Shared Content

When you share a recipe publicly, you grant other users a license to view, save, and use that recipe for personal, non-commercial purposes. You may revoke this by deleting the shared recipe.

6.4 Content Responsibilities

You are solely responsible for your User Content. You represent and warrant that:

• You own or have the right to use and share the content
• Your content does not infringe any third-party rights
• Your content complies with applicable laws and these Terms

6.5 No Sale of Personal Information

We do not sell your personal information or User Content to third parties.

7. Prohibited Conduct

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Attempt to circumvent any security features of the Service
• Use automated systems (bots, scrapers) to access the Service without permission
• Interfere with or disrupt the Service or servers
• Submit malicious prompts designed to manipulate AI systems
• Generate content that is illegal, harmful, abusive, or violates third-party rights
• Impersonate any person or entity
• Use the Service to spam, harass, or harm others
• Reverse engineer, decompile, or disassemble the Service
• Share your account credentials or allow others to access your account
• Use the Service in any manner that could damage, disable, or impair it

8. Intellectual Property

8.1 Our Intellectual Property

The Service, including its original content, features, functionality, design, and branding, is owned by ChompPrompt and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

8.2 Third-Party Content

The Service may contain content from third parties, including recipes imported from external websites. We do not claim ownership of third-party content. You are responsible for ensuring your use of imported content complies with applicable laws and third-party terms.

8.3 DMCA and Copyright Complaints

If you believe content on the Service infringes your copyright, please contact us at legal@chompprompt.com with a detailed description of the alleged infringement. We will respond in accordance with the Digital Millennium Copyright Act (DMCA) and applicable laws.

9. Third-Party Services

The Service integrates with various third-party services. Current integrations include, but are not limited to:

• Apple Sign-In: For authentication
• AI Service Providers: For AI-powered recipe generation, image creation, and content processing
• Infrastructure Providers: For data storage, authentication, and backend services
• Analytics Providers: For product analytics, usage tracking, and error monitoring
• Grocery and Delivery Partners: For grocery delivery integrations
• Recipe Data Providers: For recipe search, discovery, and content
• Weather Services: For weather data used in meal recommendations
• Notification Services: For push notification delivery
• Affiliate and Marketing Partners: We may work with affiliate networks and marketing partners in connection with third-party integrations, which may involve tracking for attribution purposes
• Content Delivery Networks: For serving images and static content

This list is not exhaustive.We may integrate with additional third-party services from time to time to enhance the Service. Third-party integrations may be added, modified, or discontinued at our discretion. Your use of features involving third-party services is subject to those parties' terms and policies. We are not responsible for the availability, accuracy, or conduct of third-party services.

9A. Household and Social Features

9A.1 Shared Households

You may create or join a shared household (“Shared Kitchen”) to collaborate on meal planning and recipe sharing with other users. By joining a household, you consent to sharing information with other household members. Shared information may include, but is not limited to, your display name, profile photo, recipes, meal planning data, cooking activity, and other household-related content. The scope of shared data may change as we develop household features.

IMPORTANT:By joining a household, you acknowledge that other household members will be able to see your profile information, cooking activity, and content you share within the household. Review the household's membership before sharing sensitive information. Household creators may generate and distribute invite codes; you are responsible for sharing codes only with intended recipients.

9A.2 Social Interactions

The Service may include social features such as following other users, sharing cookbooks, participating in cooking challenges, and maintaining streaks and achievements. Content you share through social features may be visible to other users in accordance with the feature's design. Social features and their visibility settings may change from time to time. You are responsible for the content you share socially.

9A.3 Leaving a Household

You may leave a household at any time. Upon leaving, your personal data is disassociated from the household, but recipes or content you previously shared with the household may remain accessible to other members. Data sharing and visibility settings within households are determined by the Service and may change.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• Results from the Service will be accurate or reliable
• AI-generated content will be suitable for your needs or free from errors
• Any errors in the Service will be corrected
• Specific features or functionality will remain available
• Usage limits or allowances will remain consistent over time

Service Availability: Service availability and AI generation capacity may vary based on third-party provider availability, capacity constraints, maintenance, and other factors beyond our control. We do not guarantee any particular level of service availability or performance.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CHOMPPROMPT, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to, use of, or inability to use the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service, including AI-generated content
• Unauthorized access, use, or alteration of your transmissions or content
• Food safety issues, allergic reactions, or health effects from preparing recipes

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US, IF ANY, IN THE PAST TWELVE MONTHS.

12. Indemnification

You agree to defend, indemnify, and hold harmless ChompPrompt and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or expenses (including attorney's fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your User Content

13. Governing Law and Dispute Resolution

13.1 Governing Law

For users in the United States: These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

For users in Canada: These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein.

13.2 Dispute Resolution

Any dispute arising from these Terms or the Service shall first be attempted to be resolved through informal negotiation. If unresolved within 30 days, disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association rules (for US users) or the ADR Institute of Canada rules (for Canadian users).

13.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes through the app, email, or by posting a notice on our website at least 30 days before changes take effect. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

15. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Service will cease immediately. Provisions that by their nature should survive termination shall survive, including ownership, warranty disclaimers, indemnity, and limitations of liability.

16. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect. The invalid or unenforceable provision will be modified to the minimum extent necessary to make it valid and enforceable.

17. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and ChompPrompt regarding the Service and supersede all prior agreements and understandings.

18. Apple App Store Terms

The following terms apply when you download, access, or use the ChompPrompt mobile application through Apple's App Store:

• Acknowledgement: You acknowledge that this agreement is between you and CarbonHands LLC only, and not with Apple Inc. ("Apple"). CarbonHands LLC, not Apple, is solely responsible for the ChompPrompt application and its content.
• Scope of License: The license granted to you is limited to a non-transferable license to use ChompPrompt on any Apple-branded products that you own or control, as permitted by the Usage Rules set forth in Apple's Media Services Terms and Conditions. ChompPrompt may be accessed by other accounts associated with you via Family Sharing or volume purchasing.
• Maintenance and Support: CarbonHands LLC is solely responsible for providing maintenance and support services for ChompPrompt. You acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to ChompPrompt.
• Warranty: CarbonHands LLC is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of ChompPrompt to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the application. To the maximum extent permitted by applicable law, Apple has no other warranty obligation whatsoever with respect to ChompPrompt.
• Product Claims: You acknowledge that CarbonHands LLC, not Apple, is responsible for addressing any claims you or any third party may have relating to ChompPrompt or your possession and/or use of ChompPrompt, including but not limited to: (i) product liability claims; (ii) any claim that the application fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation.
• Intellectual Property Rights: In the event of any third-party claim that ChompPrompt or your possession and use of ChompPrompt infringes that third party's intellectual property rights, CarbonHands LLC, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.
• Legal Compliance: You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.
• Third-Party Terms: You must comply with applicable third-party terms of agreement when using ChompPrompt, including your wireless data service agreement.
• Third-Party Beneficiary: You acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of this agreement. Upon your acceptance of these terms, Apple will have the right (and will be deemed to have accepted the right) to enforce this agreement against you as a third-party beneficiary.
